DRIVING PARK HISTORIC DISTRICT ORGANIZATION BYLAWS
Article I. Name: The name or this organization shall be The Driving Park Historic District, also known as DPHD.
Article II. Geographic Boundaries: The geographic boundaries of the DPHD neighborhood are defined: 6th avenue to the North to 4th avenue to the south, starting at center line of the back alley at High Street to the center line of the back alley at Marion Street.
Article III. Purpose: The purpose of the DPHD IS to preserve and enhance the quality of life In our neighborhood by addressing, but not being limited to the following areas:
1. seeking to preserve the historic legacy and architectural integrity of our neighborhood to the predominantly residential character of our neighborhood and to assure that new improvements and residential development and city improvements are compatible the existing fabric off the area: and
2. participating in planning, zoning, safety and other decisions affecting our neighborhood through advocacy before governmental agencies and elected officials and liaisons with other community organizations: and
3. fostering a sense of community identity, community spirit and community activism through communication with and interaction with our neighbors.
Article IV. Organization: DPHO was founded in April of '2000 as an unincorporated association. and is/will he organized as and adheres to the requirements for a Registered Neighborhood Organization under Section 12-93 of the Denver Revised Municipal Code. DPHD shall at all times comply with the requirements of Denver Municipal Code as it pertains 10 Registered Neighborhood Organizations.
Section 1 –Membership: Membership shall be open to all persons who live in or own real property. including businesses within DPHD aforementioned geographic boundaries. and who have paid annual membership dues to the DPHD.
Section 2 -Board of Directors: DPHD shall be governed by a Board of Directors ("Board") elected annually by the DPHD membership at a general meeting. The board shall be comprised of at least 12 persons, who must all be members of the DPHD. Vacancies on the Board may be filled by an election of the Board, and any person so elected must stand for election by the membership at the next general meeting. The Board shall have all powers generally held by the Board of Directors of a non-profit corporation, as well as such powers as are necessary and proper to fulfill DPHD responsibilities as a Registered Neighborhood Organization and DPHD purposes under these Bylaws.
Section:3 -Officers and Directors: The officers or DPI-ID shall be a President. a Vice-President, a Secretary and a Treasurer. The officers shall be elected by the membership at the general meeting and shall be members of the DPHD. Vacancies can be filled as specified in Article 4. Section 3 above. The directors of DPHD shall be comprised of at least one representative from the streets within DPHD: Marion, Lafayette, Humboldt, Franklin, Gilpin. Williams and High. These members shall be elected by the membership at the general meeting and shall be members of the DPHD The most recent past president of DPHD shall also sit on the board of directors until the current president fills that position
Section 4 –Meetings: Frequency and Notice. DPHD shall hold at a minimum one annual general meeting of membership, and may hold additional general meetings as the Board shall deem necessary, after notice to the membership of the DPHD and the public notice by newsletter, flyer or email readily available within the geographic boundaries of the DPHD. The board shall meet periodically to conduct affairs of DPHD, at times and places set in advance, and any member of DPHD may request notice of the time and place of such Board meetings.
Quorum. A quorum at any general meeting of the membership shall consist of five (5) members of the board.
Procedures. Any general meeting or Board meeting shall he held in accordance with generally accepted principles of parliamentary procedures. Any disagreements as to procedure shall be resolved by reference to the current addition of Robert’s Rule of Order. Adopted this 29th day of April, 2020
